Terms & Conditions

Version of 27 August 2026

The rules that apply when you work with us. Written to be read: what we owe you, what you owe us, and what happens when something goes wrong. Consumers have extra rights, marked as such.

1. Who you are contracting with

Add You Agency, a sole proprietorship (eenmanszaak) under Belgian law operated by Dylan Flament, with registered office at Auguste Oleffestraat 3/020, 2020 Antwerp, Belgium, registered in the Crossroads Bank for Enterprises (KBO/BCE), Belgium under enterprise and VAT number BE 0768.613.152. E-mail contact@addyouagency.com, phone +32 470 79 81 54. In these terms we call ourselves "we" or "Add You Agency" and you "the client".

We are not subject to any authorisation scheme or regulated profession for the services described here.

2. When these terms apply

These terms apply to every quote, order and agreement between us and the client, and to the use of this website.

If our written quote or an individually negotiated agreement says something different, that document prevails over these terms. The client's own purchase or procurement conditions do not apply, unless we accepted them in writing.

Consumers. Where a clause is marked "consumers", it applies only if you are acting for purposes outside your trade, business, craft or profession. Nothing in these terms limits the mandatory rights Belgian and European consumer law give you; where a clause would conflict with those rights, the law prevails and the rest of the terms stay in force.

3. What we do

We build and maintain digital products: websites and web applications, e-commerce, SaaS platforms, blockchain and smart-contract integrations, and the marketing that goes with them. We also license our own products (VaultChain, AboApp, CRM and ERP environments) as a service.

The scope, deliverables, timing and price of an assignment are set out in the quote or order confirmation. Anything not described there is not part of the assignment.

We deliver an obligation of means: we perform the assignment with the care of a competent professional. We only owe a specific result where the quote says so in as many words.

4. Quotes, prices and VAT

  • —Quotes are without obligation and valid for 30 calendar days from their date, unless stated otherwise.
  • —Prices to business clients are stated excluding VAT. Prices to consumers are stated including VAT and all unavoidable charges, as required by art. VI.4 of the Code of Economic Law.
  • —Belgian VAT of 21% applies unless the reverse-charge mechanism applies to a business client in another EU member state, in which case the invoice states "VAT reverse charged".
  • —Third-party costs we advance on your behalf — licences, hosting, domain names, app-store fees, paid components — are charged on at cost and identified separately.
  • —A price quoted in a cryptocurrency for one of our own products is fixed at the amount in that currency; exchange-rate movement between order and payment is not a ground for adjustment on either side.

An obvious clerical or calculation error in a quote does not bind us, provided we point it out as soon as we notice it.

5. How an agreement comes about

The agreement comes about when you approve the quote in writing — by e-mail, through a digital signature, or by clicking the approval button in our client portal — or when we start performing at your request.

We confirm every order on a durable medium. An electronic signature is valid between us in accordance with Regulation (EU) 910/2014 (eIDAS).

6. Right of withdrawal (consumers only)

If you are a consumer and the agreement was concluded at a distance or away from our premises, you have 14 calendar days from the day the agreement was concluded to withdraw, without giving reasons and without cost (art. VI.47 of the Code of Economic Law).

To withdraw, tell us so unambiguously before the period expires: e-mail contact@addyouagency.com, or use the model withdrawal form annexed to Book VI of the Code of Economic Law. Sending your notice before the deadline is enough. We confirm receipt without delay and refund all payments received within 14 days of your notice, using the same means of payment you used.

Two limits, which we set out plainly because they are the ones that matter in practice:

  • —If you ask us to start during the 14 days, we may do so only after your express request on a durable medium. If you then withdraw, you owe an amount proportionate to what was already delivered at the moment of withdrawal (art. VI.51 §3).
  • —The right lapses for a fully performed service once we have completed it with your prior express consent and your acknowledgement that you lose the right of withdrawal on completion (art. VI.53, 1°). The same applies to digital content delivered other than on a tangible medium under those conditions (art. VI.53, 13°), and to work built to your specifications or clearly personalised (art. VI.53, 3°).

We ask for that express consent and acknowledgement in writing before we start. If we did not ask, the right of withdrawal simply remains yours in full.

7. What we need from you

An assignment only runs well if the input arrives. You undertake to:

  • —supply the content, images, logos, access credentials and decisions we need, on time and in a usable form;
  • —guarantee that you hold the necessary rights to everything you supply, and to indemnify us against third-party claims about that material;
  • —appoint one contact person with authority to make decisions;
  • —test the delivered work within the agreed period and report defects specifically.

If input or feedback is delayed, delivery dates shift accordingly. If a delay on your side exceeds 30 days, we may invoice the work completed up to that point.

8. Delivery, deadlines and acceptance

Delivery dates in a quote are estimates unless they are expressly designated as firm deadlines. We report any delay as soon as we see it coming, together with a new date.

After delivery you have 14 days to report defects in writing. Defects reported in that period, and which stem from our work, we repair free of charge. Absent a report, the delivery is deemed accepted, except for defects that could not reasonably have been discovered.

For consumers, the statutory conformity rules for digital content and digital services (Book VI, Title 4 of the Code of Economic Law) apply in full alongside this clause; this clause never shortens them.

9. Changes to the assignment

Requests that go beyond the agreed scope are handled as additional work. We quote the price and the effect on the timeline first, and only start once you approve. We never invoice unapproved additional work.

10. Payment — business clients

  • —Invoices are payable within 30 calendar days of the invoice date, unless the quote states otherwise. In line with the Belgian Late Payment Act of 2 August 2002, a payment term between businesses may never exceed 60 days.
  • —For assignments above €5,000 we may invoice in instalments tied to milestones; the first instalment is a deposit of at most 30%.
  • —If an invoice is not paid on time, interest runs by operation of law and without notice at the statutory rate for commercial transactions (the reference rate of the National Bank plus 8 percentage points), together with the fixed recovery compensation of €40 provided by that Act, without prejudice to higher proven recovery costs.
  • —Disputes about an invoice must be raised in writing within 14 days of the invoice date; an undisputed portion remains payable.
  • —If payment is more than 30 days late, we may suspend further work after written notice. We give you at least 7 days to remedy first.

Reciprocity. If we owe you a refund and pay it late, the same interest applies in your favour, on the same terms.

11. Payment — consumers

Consumer debts follow Book XIX of the Code of Economic Law, which we apply as follows:

  • —The first reminder is free. It states the amount due, what it is for, and the consequences of non-payment.
  • —You get at least 14 calendar days from the third working day after the reminder is sent (or from the calendar day after dispatch if we send it electronically) to pay before any charge may be added.
  • —Only after that period may we charge interest, at no more than the statutory rate for commercial transactions, calculated on the outstanding balance from the day the period ends.
  • —A fixed compensation, if charged, never exceeds the statutory ceilings: €20 for balances up to €150; €30 plus 10% of the amount between €150.01 and €500; €65 plus 5% of the amount above €500, with an absolute maximum of €2,000.
  • —The same compensation is owed by us to you, on the same terms, if we are late paying an amount we owe you.

12. Cancellation and termination

  • —You may cancel an assignment at any time in writing. You then owe the work actually performed and the third-party costs already committed, plus 15% of the remaining assignment value as compensation for reserved capacity.
  • —If we cancel an assignment without a serious cause attributable to you, we owe you the same compensation of 15% of the remaining assignment value, and we refund what you paid for work not delivered.
  • —Subscriptions and maintenance contracts run for the agreed term and are then terminable by either party with one month notice, unless the order confirmation says otherwise. For consumers, a subscription renewed for an indefinite period may always be terminated free of charge with a notice period of at most two months (art. VI.91 of the Code of Economic Law).
  • —Either party may terminate the agreement with immediate effect if the other party remains in serious breach 14 days after a written notice to remedy, or in the event of bankruptcy or insolvency.

On termination we hand over the delivered work and the data belonging to you, in a usable format, against payment of what is due.

13. Intellectual property

  • —Everything we create for you — designs, source code, texts, configurations — becomes yours once the assignment has been paid in full. Until then we hold the rights, and you hold a temporary licence to use the work for its intended purpose.
  • —The transfer covers reproduction, adaptation, distribution and communication to the public, for the agreed purpose, worldwide and for the duration of the rights.
  • —We keep the rights to our own generic building blocks, libraries, frameworks and know-how developed before or outside the assignment. You receive a perpetual, non-exclusive licence to use them as part of the deliverable.
  • —Third-party and open-source components stay under their own licence. We list which ones apply to your project and comply with their terms.
  • —You keep all rights to the material you supply.
  • —Portfolio. We would like to show the work. We only name you as a client, show screenshots or publish figures with your prior written consent, which you may withdraw for the future at any time.

14. Hosting, availability and support

Where we host or manage an application, we do so with the care of a professional, but we give no availability guarantee unless an SLA has been agreed in writing with an explicit percentage and remedy. Absent such an SLA, no uptime figure anywhere on this website or in our marketing constitutes a contractual commitment.

Planned maintenance is announced in advance where possible. We are not liable for downtime caused by your own suppliers, by third-party networks, or by circumstances beyond our control.

15. Liability

  • —Our liability for an assignment is limited to the amount invoiced for that assignment over the 12 months preceding the event.
  • —We are not liable for indirect damage, loss of profit, loss of turnover, loss of data or third-party claims, except where the law says otherwise.
  • —These limits never apply to damage from our intent, fraud or gross negligence, to damage from a serious fault by our staff or subcontractors, to bodily injury or death, or where mandatory law forbids a limitation. Against consumers, the limits never affect the statutory guarantee of conformity or liability for defective products.
  • —You remain responsible for keeping usable backups of content and data you supply, unless a backup service was explicitly agreed.

16. Confidentiality and personal data

Both parties keep confidential information received from the other confidential, during the agreement and for 5 years afterwards. This does not apply to information that is public, that was already lawfully held, or that must be disclosed by law.

Where we process personal data on your behalf in performing the assignment, we do so as processor within the meaning of art. 28 GDPR, under a separate data processing agreement that we sign before processing starts. How we handle personal data as a controller is described in our Privacy Policy.

17. Force majeure

Neither party is liable for a failure caused by circumstances beyond its control — including outages at essential suppliers, network attacks, power or internet failure, government measures, war, or illness of a key person in a one-person business. Obligations are suspended for the duration. If the situation lasts longer than 60 days, either party may terminate the agreement in writing, with settlement of the work already performed.

18. Complaints and disputes

Complaints go first to contact@addyouagency.com. We respond within 7 working days and aim for a solution together.

Consumers may also submit a dispute free of charge to the Consumer Mediation Service (Consumentenombudsdienst / Service de Médiation pour le Consommateur), North Gate II, Koning Albert II-laan 8 box 1, 1000 Brussels, Belgium — contact@consumentenombudsdienst.be — https://consumentenombudsdienst.be. (The European ODR platform ceased operating on 20 July 2025 and is therefore no longer a route.)

Failing a settlement, the dispute goes to the courts of Antwerp, Antwerp division (Belgium). A consumer may always bring the case before the court of their own place of residence, and can never be forced to litigate elsewhere.

19. Governing law

These terms and every agreement to which they apply are governed by Belgian law, excluding the Vienna Sales Convention. For consumers residing in another EU member state, this choice never deprives you of the protection of the mandatory rules of your own country of residence.

20. Changes, invalidity and language

  • —We may amend these terms for future agreements. The version applicable to your assignment is the one in force on the day the quote was approved; we do not change the rules of a running assignment unilaterally. For subscriptions we announce a change at least 30 days in advance, and you may then terminate free of charge before it takes effect.
  • —If a clause turns out to be invalid, the rest remains in force and the invalid clause is replaced by a valid one that comes as close as possible to its intent.
  • —These terms are published in English. On request we provide a Dutch version; a consumer resident in Belgium may always invoke the Dutch text.

Something in here unclear or unreasonable? Say so at contact@addyouagency.com. A term nobody understands protects nobody.
